Terms of Service

These Terms of Service ("Terms") govern your use of synaraautomation.com (the "Site") and the AI texting assistant services provided by Synara LLC ("Synara," "we," "us," or "our") to participating restaurants and their staff (the "Service"). By accessing the Site or using the Service, you agree to these Terms.

1. Who can use the Service

The Service is intended for use by restaurants and their authorized staff. You must be at least 16 years old to use the Service. By using the Service, you represent that you meet this requirement and that you are authorized to do so on behalf of the restaurant whose roster you appear on, if applicable.

2. The Service

Synara provides AI-powered SMS-based assistance for restaurant operations, including:

• Server training — menu Q&A, allergen walkthroughs, upsell coaching, and shift-prep drills delivered by text.
• Shift coverage — automated coverage searches, manager approvals, and schedule management.
• Review response drafting — AI-drafted replies to negative online reviews, for owner approval.

We may modify, expand, or retire features at any time. We'll communicate material changes to participating restaurants in advance where reasonably possible.

3. Acceptable use

When using the Service, you agree NOT to:

• Use the Service to harass, threaten, or harm any person.
• Send messages that violate the Telephone Consumer Protection Act (TCPA), CAN-SPAM, or any other applicable communications law.
• Attempt to reverse-engineer, scrape, or otherwise extract Synara's proprietary systems, prompts, or model outputs in bulk.
• Use the Service to impersonate another person or entity.
• Upload or transmit content that infringes third-party intellectual property rights.
• Use the Service for any illegal purpose or in violation of any local, state, national, or international law.

4. Restaurant responsibilities

Restaurants using the Service are responsible for:

• Obtaining appropriate consent from staff before adding them to the Service's authorized roster.
• Providing accurate and current menu, allergen, and operational data.
• Reviewing and approving any AI-drafted public communications (such as review replies) before they are posted.
• Complying with applicable employment, wage, and scheduling laws when using shift coverage features.

5. Intellectual property

Synara's IP

The Site, the Service, our system prompts, our software, our brand name, and our logo are owned by Synara and protected by copyright, trademark, and other intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

Customer data

Restaurants and staff retain ownership of their own data — menus, employee information, message content, and review replies they author or approve. By using the Service, you grant Synara a limited license to use this data solely to operate the Service for you and to improve our products in aggregated, de-identified form.

6. AI-generated content

The Service uses AI to generate suggestions, including draft messages, training answers, and review replies. AI-generated content may contain inaccuracies. You are responsible for reviewing AI output before relying on or publishing it — particularly for public-facing replies, allergen information, and any content that affects guest health or safety.

7. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, SYNARA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE OR COMPLETE.

8. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SYNARA AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. SYNARA'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO SYNARA IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

9. Indemnification

You agree to indemnify and hold harmless Synara from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your violation of these Terms, your misuse of the Service, or your violation of any law or third-party rights.

10. Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service if you violate these Terms or if we discontinue the Service. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and dispute resolution — will survive.

11. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law provisions. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Orange County, California, and you consent to the personal jurisdiction of those courts.

12. Changes to these Terms

We may update these Terms from time to time. When we do, we'll update the "Effective date" at the top of this page. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
